Dhwani Terms of Service

These Terms of Service ("Terms") govern your use of the Dhwani desktop application ("Dhwani" or the "Software"). By downloading, installing, or using Dhwani, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Software.

1. License & Usage Restrictions

  • Access & License: Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to download, install, and use Dhwani for your personal or internal business purposes (e.g., note-taking, organization, task management).
  • Restrictions: You agree that you will not, and will not permit anyone else to, directly or indirectly:
    • (a) Rent, lease, distribute, sell, or sublicense the Software to any third party;
    • (b) Reverse-engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law;
    • (c) Copy, modify, or create derivative works of any part of the Software;
    • (d) Circumvent any security features, conduct vulnerability testing, or introduce malicious code/viruses to or through the Software.

2. Disclaimer of Warranties & Limitation of Liability

  • As-Is Provision: THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
  • Zero Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE CREATORS, DEVELOPERS, OR DISTRIBUTORS OF DHWANI BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, CORRUPTION OF DATABASE FILES, SYSTEM FAILURE, OR HARDWARE DAMAGE) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF THE CREATORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Assumption of Risk: YOUR USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK. THE CREATORS OF DHWANI ASSUME ABSOLUTELY ZERO LIABILITY.

3. Data Backup Responsibility

  • Backup Responsibility: Because your data resides entirely on your local storage, database backing up is your sole responsibility. We are not liable for any data loss, file corruption, or device failure.

4. Third-Party AI Models & API Keys

  • User-Provided Keys: Dhwani includes AI integration features (e.g., chat assistant, task linking, content summarization) that run using AI model providers (such as OpenAI, Anthropic, Google, Groq, or local Ollama instances).
  • Direct Communication: When you enable these features, the Software sends prompts and context directly from your device to the configured provider's API. Your use of these features is subject to the respective AI provider's Terms of Service and Privacy Policies.
  • Key Encryption: Your API keys are encrypted at rest and stored locally on your device. Dhwani does not collect, monitor, or intercept your API keys, prompts, or LLM responses.

5. Acceptable Use

  • You agree to use the Software only in compliance with all applicable local, state, national, and international laws and regulations.
  • You may not use the Software to generate or store content that violates third-party intellectual property rights, promotes illegal activities, or violates the acceptable use policies of your configured AI providers.

6. Modifications to the Software

  • We reserve the right to modify, update, suspend, or discontinue any feature or part of the Software at any time, temporarily or permanently, with or without notice.

7. Governing Law & Dispute Resolution

  • These Terms will be governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved individually in the state or federal courts located in San Jose, California.

8. Plugins & Extensions

  • Full Responsibility: Dhwani supports the installation of plugins and custom page extensions via ZIP packages. By installing, enabling, or using any plugin, you acknowledge and agree that you assume full responsibility and all associated risks.
  • No Endorsement or Warranty: The creators of Dhwani do not verify, endorse, warrant, or guarantee the safety, security, functionality, or code integrity of any plugins.
  • Limitation of Liability: In no event shall the creators or distributors of Dhwani be liable for any data loss, database corruption, security breaches, unauthorized local/network data transmission, system instability, or hardware damage caused directly or indirectly by plugins.
